Terms & Conditions

Purchase of any of our products are governed by one of the following terms and conditions and applies to all direct purchases either by internet or phone. These also apply to all purchases that the buyer intends to sell on to third parties (Resellers). We the seller, intend to apply the terms set out in this document. To protect your own interests please read this document carefully.

 Definitions

Buyer: Describes the person or organisation to which the goods are invoiced.

Seller: Means C3 Computers UK Ltd, Units 1-3, 3 Main Street, Maghera, County Derry, N.I. BT465AA.

Price: The price paid for the goods, including VAT, and as detailed on the purchase Confirmation Order. Price shall be payable in Sterling for buyers from the UK and Euros for buyers from Ireland.

Confirmation of Order: This is the document e-mailed by the Seller to the Buyer setting out all the goods, Hardware and Software to be supplied and the total price including VAT to be paid by the buyer.
 
Hardware: Describes the integral components that form part of any base unit or server manufactured and supplied.
 
Software: Describes the term for products or programmes that require installation, by the buyer or the seller and require a licence for end use.
 
Goods: Describes the items as set out and detailed on the Confirmation of order.
 
Working Day: Means any day Monday to Friday between the hours of 08.00am and 17.30pm, Saturdays between the hours of 09.00 and 16,30pm.
 
Scheduled Date of Manufacturing: Describes the working day on which any Computer System ordered will begin its construction from component parts.
 
Delivered & Delivery: Describes the day on which the Buyer collects the goods or the day on which the goods are delivered to the Buyers address.
 
Terms and Conditions: Describes the contract and all details as set out in this document.
 
Contract: Describes the contract and agreement between C3 Computers and the Seller and to which all the contents of this document relate.
 
BTB:  Back to Base: Describes the term used to indicate the process whereby the goods will be returned to the nearest C3 manufacturing base for diagnostic review and repair under the terms of the warranty.

Reasonable Period of Time:
Time in which the Buyer should examine the goods to ascertain their conformity with the contract.
 
Why do we need these terms and conditions?
 
These terms and conditions forms a binding agreement between c3 Computers and you the customer and you should take the necessary time to read and understand all sections which apply to you.
Certain other agreements will be written and agreed with business users .    
Our Agreements with you are intended to comply with all of your statutory rights as a Consumer. However, in the event that any uncertainty arises, your statutory rights as a Consumer will take priority over any Agreement.
Terms and Conditions of Sale for individual customers or Businesses Purchasing to Resell (Applies to all purchases of products that buyer intends to resell to others)
What is this document?
 
This "Agreement" forms a contract between C3 Computers and companies that resell computer hardware, software, Peripherals and services to other businesses. Normally these businesses will be the end user of the products or systems sold. It also covers direct online and phone sales made by individual buyers.
The Agreement between us becomes effective when you place your first order with us and remains effective until terminated by the ways specified at the end of this document.
This Agreement forms your contractual relationship with C3 and records the platform upon which you may purchase and resell Computers manufactured by our company. This document replaces all previous written and oral agreements and commitments made between C3 and you the customer. Both Parties accept that they have relied only on the content of this Agreement before making your decision to enter into this Agreement.
Order placement, confirmation of orders and Suitability for purpose
Resellers will place all orders through your account manager as applicable and will satisfy yourself before placing the order as to the suitability of the description of the Computers, Servers or peripherals for your needs or the needs of your end users. All orders shall be regarded as requests for Computers and will not be binding upon us unless we have issued a formal order confirmation to you. Our Computers and systems are intended to be delivered as described in our Computer descriptions - but are subject to availability and we reserve the right to make detailed changes to specification on an ongoing basis. We cannot warrant suitability of any unit or system for any particular purpose.
Payment
 
At the time of placing an order or making a purchase the buyer has to clearly indicate their intended method of payment. C3 must receive cleared payment either in terms of cash, cleared funds or authorised credit card payment prior to this company giving the buyer a scheduled date of manufacture or delivery. Goods will not be released until we have received payment for any goods ordered unless prior credit arrangements have been agreed between the Buyer and the Seller.
 
The Goods.
 
C3 Computers will use only brand named components as indicated on the purchase orders. Should the seller be unable to supply the brand named product which has been indicated on the purchase order we will advise the buyer and offer another product of equal or better specification at no extra cost to the buyer. Should this happen the buyer will reserve the right to cancel their order and receive a complete refund from c3.If the buyer wishes to change the specification of their order we will advise them that the order will have to be reprocessed and a new scheduled date of manufacture and delivery will be issued.
 
Warranties and Guarantee.
Nothing in these conditions reduces your statutory rights relating to faulty goods. For consumer advice contact your local Trading Standards Department.

C3 warrants to the buyer that the goods delivered will be of the description on the purchase order. There will one year’s guarantee on Computer Base Units and Servers together with any additional manufacturers warranties supplied for some component parts.
Laptops, Notebooks, Printers, Scanners, Speakers, Keyboards, Mouse, and Monitors will have warranties for one year or as indicated on documents provided by the manufacturers.

Computer Base Units and Servers

In the event of a fault being diagnosed in the base Unit and C3 accept responsibility for the said fault; we will repair and replace all component parts necessary to leave the unit in perfect working order. Parts replaced under the terms of the warranty become the property of C3 Computers We will cover the costs of all parts, labour and courier collection and delivery from the buyer’s original delivery address as indicated on the original order. After one year from the date of delivery the warranty will be void on the computer base unit and the buyer will be advised of all fees required to remedy any faults and courier charges prior to collection being arranged. We would recommend that the buyer does regular back up of all important data.
 
Laptops / Notebooks

In the event of a hardware fault being diagnosed, in your Laptop or Notebook which upon investigation is deemed the responsibility of C3, we will repair the goods, by the replacement of the necessary components. C3 will pay the costs of all parts, labour and courier fees during the first year of warranty only. Collection will be arranged on a working day which will be agreed between both parties. During the second or third year of the warranty (if applicable) we will pay the cost of the labour only. The buyer will pay for all other parts and courier fees during the second or third year of any warranty. C3 recommend that the buyer does regular back up of all important data.
 
Printers, Scanners, Speakers, Keyboards, Mouse, Monitors and Peripheral

In the event of any defects arising with any of the above named items C3 will forward all details to the Buyer so that they may obtain direct support from the Manufacturers for a remedy, under the Sellers agreement with the Manufacturers of the said items. Alternatively the buyer can choose to arrange and pay for a courier to collect and deliver the item back to C3 base. The seller will return the item to the manufacturers for appropriate and specialist remedy, under the terms of the warranty.
 
Exclusions to warranties
 
C3 warranties exclude normal wear and tear, misuse, neglect or damage by the buyer or his appointed agent. It also excludes modified or incorrectly installed components by the buyer or his appointed agent. The Seller shall not be liable for the costs of carriage where the failure of the goods arises from the Buyers misuse or no defects or faults are found which are attributable to the goods supplied. We will not honour warranty on goods which have been maintained other than in the specification contained in manuals supplied by the manufacturer. Any amendments made by the user of the Computers systems operational settings or incorrect installation of Software by the Buyer or his appointed agent. Remedy of the introduction of Virus by the Buyer or his agent. Compatibility with other agent’s products, Hardware or Software, which were not supplied by the Seller will not be eligible under our warranties. We will not repair products or goods damaged as a result of failure of electrical supplies.
 
Delivery & Collection

C3 will endeavour to deliver systems and goods to the buyer as set out in the Order Confirmation and upon receipt of all delivery charges. We would estimate that delivery dates will be no less than 4 days after the scheduled date of manufacture and no more than 20 days after the date of payment. We cannot be totally specific about dates of delivery but we will endeavour to be as concise as possible about dates. All deliveries will be executed by third party couriers and we reserve the right to deliver in instalments within the period noted above. The Buyer retains the right to cancel any order not delivered within 30 days from the date of placing the order.
The address to which delivery will be made is the address notified by the Buyer to C3 Computers at the date and time of placing your order. Should you wish to request a change of delivery address this can only be made up to three days prior to the Scheduled date of despatch from our dispatch headquarters? A request for a change of delivery address must be confirmed in writing together with proof of identity. In order to protect against Credit Card Fraud and where payment has been made by credit card, the delivery address will be the address where the credit card is registered and may not be changed at all.
 
The courier will endeavour to make delivery to the address as indicated on the confirmation order. It is the buyer’s responsibility to count the number of boxes being delivered by the Courier and sign the Couriers paperwork clearly and only for the number of boxes received. C3 will not be responsible for any further delivery costs should there be failure by the buyer to take delivery at that address, after there has been a reasonable notification to you the buyer that the courier has been attempting delivery. In the event that the courier could not affect delivery of goods the buyer can arrange to collect goods from our premises. You will need proof of identity to gain possession of your goods.
 
Acceptance of the Goods

Within 3 working days of delivery the buyer will inspect the goods and inform C3 Computers in writing of goods missing, damaged in transit or goods which do not match those listed in the order specification. We would request that the buyer endeavours to notify C3 Computers without delay to allow us to make claim against our insurance within 7 days from delivery.
 
Should the buyer reject the goods as being defective or damaged within a reasonable time frame they are requested to stop using the product and notify C3 Computers immediately of the defect? Please include in your letter the nature of the defect or damage, the date of last usage of the product and that the goods are boxed in their original packaging if still available and available for collection by our courier on a working day which will be mutually agreed by both parties. C3 Computers will reserve the right to inspect the goods either on or off the Buyers premises and to verify that the goods are defective and that those defects are attributable to the goods supplied as claimed by the Buyer. In the event of a dispute between the Seller and the Buyer each party shall have the opportunity to seek independent verification of a claim of defective goods by a qualified person. C3 Computers and the Buyer should endeavour to agree not to delay an inspection beyond a reasonable period of time or deny each other access to the goods to verify a defect. In the event of a genuine defect having been accepted by C3 Computers a full refund will be made by the same method as the original payment.
 
The rights of the Buyer as set out in these terms and conditions shall apply in addition to and without prejudice to all rights that the Buyer may have at common law or statute: For Advice contact the local Trading Standards Department or the Citizens Advice Bureau.
 
Reselling
All companies which purchase Computers from us for resale to other businesses must be a Reseller. However the reseller will continue to be an independent contractor and we are not bound contractually to each other in any legal way.
If you are a Reseller and have got our approval in writing (which we are entitled to refuse or to restrict) then you will be entitled to use the C3 branded Logo for the period of our contractual relationship. . If you are a Reseller then you must ask us for a copy of the guidelines when requesting approval to sell any of our C3 branded products.
In particular our Computers are not designed to be used in any application or environment where absolute reliability is critical to performance of a process or to the safety of humans, animals, intellectual property or real property. Any intended application of this kind must be agreed to expressly in writing by us prior to the confirmation of the order for those Computers.
If we help you to configure and to provision your order then this guidance will be provided as non binding suggestions only for which we will not accept liability unless agreed within specific parameters and in writing for individual orders with one of our Directors on a case by case basis. Consequently you must check and validate the suitability of all such suggestions and guidance yourself before placing the order.
When fulfilling an order we reserve the right to substitute Computers that are equivalent in all respects to or enhanced from the Computers that you have ordered, however we will not make any significant variations to the Computers ordered without your agreement..
Compliance with laws (Resellers)
You must comply with all applicable laws and regulations.

Export: Computers, software and technology covered by this Agreement may be subject to export control laws and regulations in the European Union. You must comply with such export control laws and regulations - fuller details of this requirement are given below in an appendix
Environmental: The deposit or recycling of Computers covered under our agreement may be subject to application of environmental laws and regulations. You must therefore comply with any of such environmental laws and regulations applicable to you including the under the relevant national application of the Waste Electrical and Electronic Equipment (WEEE) Directive 2002/96/EC and 2003/108/EC) and any updates of these regulations that may be introduced from time to time.

Taxes: You must pay all taxes applicable to you. You may qualify for tax exemptions from time to time in which case we request that you provide us with a certificate of exemption or other appropriate documentary proof of exemption.

Contractual and legal warranties (Resellers)
We will expect you to adhere to all normal legal requirements in the EU as a trade seller of Computers to businesses and end users.
Except when we have agreed differently with you in writing, we will provide our standard contractual and legal warranty to the end user in line with our normal legal obligations and our standard business contract terms. We will reserve the right to limit end user statutory warranty entitlements on Computers to the maximum time permitted by law.
End users will need to register the serial number(s) of the Computers that they have purchased with us in order for us to fulfil our contractual and legal rights to them.
We will not honour a warranty when it has become apparent that the end user or his appointed agent, or Reseller has made unauthorized or unapproved alterations or repairs to Computers that we have supplied - including using repair or replacement components and/or software which we, acting reasonably, do not regard as safe and /or suitable for use in or with the Computers that we have supplied to you.
If you open, alter or repair Computers that we have supplied to you, then we will not accept responsibility to you or to the end user for any safety or compliance issues resulting unless you or the end user was only acting in accordance with our written or oral instructions in carrying out the opening, alteration or repair.
Ending the Agreement
Either party may end this Agreement at any time on one month's notice in writing. The Laws of the United Kingdom govern this contract
